1. Acceptance of Terms
The TrustConstruct platform ("Platform") is operated by THE TRUST CONSTRUCT TECHNOLOGIES LLC ("TrustConstruct," "we," "us," or "our"). By creating an account and affirmatively agreeing through the Platform's consent flow, you agree to be bound by the version of these Terms presented to you. If you do not agree, do not create an account or begin a new transaction. TrustConstruct may update these Terms from time to time. We will post the revised Terms, update the "Last updated" date, and provide notice of material changes. For an existing account, a material change applies prospectively after its stated effective date and after the user affirmatively agrees through the Platform's consent flow. Continued use alone does not constitute agreement to a material change. No update retroactively alters accrued rights or obligations unless the affected parties expressly agree or applicable law requires otherwise. If a user does not agree to revised Terms, TrustConstruct may limit access to new features or transactions but will preserve access reasonably necessary to address existing projects, payment status, disputes, refunds, records, account closure, and provisions that survive termination.
2. Platform Overview
TrustConstruct is a construction project management platform that connects homeowners ("Clients" or "Owners") with contractors and general contractors ("Contractors"). The Platform facilitates project discovery, bidding, agreement management, milestone tracking, milestone-based payments, dispute resolution, and reviews. TrustConstruct acts as an intermediary and is not a party to any agreements between Clients and Contractors.
3. User Accounts
To use the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify TrustConstruct immediately of any unauthorized use of your account. TrustConstruct reserves the right to suspend or terminate accounts that violate these Terms.
4. Platform Usage
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not: (a) use the Platform to transmit harmful, fraudulent, or misleading content; (b) interfere with or disrupt the Platform's infrastructure; (c) attempt to gain unauthorized access to any part of the Platform; (d) use automated tools to scrape, collect, or access Platform data, except through a connected application or integration expressly offered and authorized by TrustConstruct and only within the permissions granted through that integration; (e) impersonate another person or entity; or (f) use the Platform for any purpose that violates applicable laws or regulations.
Connected applications. TrustConstruct may allow you to connect an eligible third-party application to your account through a TrustConstruct authorization flow. A connected application may access only the information and perform only the actions within the permissions you approve. Depending on those permissions, a connected application may read your own estimates and invoice printouts, including their line items and prices, and the items and prices in your supplier catalogue, and may prepare your own estimates and add, change, or remove items and prices in your public supplier catalogue; each such change takes effect only after you confirm the exact content in TrustConstruct. Requests received through an approved connection may be treated as your instructions within that approved scope, subject to TrustConstruct's security checks and any action-specific confirmation TrustConstruct requires. Actions visible to another project participant are identified as made through the connected application. A connected application may not sign or accept an agreement or terms, approve or accept work, initiate or complete a payment, funding, payout, release, return, or refund, open or resolve a dispute, submit a milestone for review, or change project price or scope. The connected application is operated by an independent third party under its own terms and privacy policy. Disconnecting stops future access but does not delete copies already retained by that third party. You must promptly disconnect the application and notify TrustConstruct if you believe it was used without your authorization. Nothing in this section waives any right concerning an unauthorized instruction, electronic fund transfer, or payment error that cannot be waived by law or payment-provider rules.
Google Maps. The Android app includes Google Maps features and content. Your use of those features and content is subject to the then-current Google Maps End User Additional Terms of Service (https://maps.google.com/help/terms_maps/) and Google Privacy Policy (https://policies.google.com/privacy).
5. Milestone Payments & Payment Terms
TrustConstruct facilitates milestone payments between Clients and Contractors through an independent third-party payment provider. TrustConstruct does not hold or take custody of customer funds and does not decide who is entitled to a disputed payment. When a Client funds a milestone, the payment provider receives and processes the milestone payment under its terms and controls. Client approval authorizes a payout request through the approved payment workflow; it does not guarantee or itself complete a payout. The payment provider may pay the milestone amount to the Contractor, return it where permitted, or otherwise handle it through an applicable dispute, compliance, or legal process. Platform and provider fees are disclosed under Section 6. All monetary amounts on the Platform are displayed in U.S. dollars unless otherwise specified.
6. Platform Fees
TrustConstruct charges a service fee ("Platform Fee") to Contractors on each milestone payment released through the Platform. The fee rate is set by the total value of the whole project, and that one rate is then withheld from each payment to the Contractor before funds are disbursed. The rate is determined according to the following tiered schedule: (a) $0 - $1,000: 3.5%; (b) $1,001 - $5,000: 2.5%; (c) $5,001 - $10,000: 2.0%; (d) $10,001 - $25,000: 1.5%; (e) $25,001 - $50,000: 1.2%; (f) $50,001 - $100,000: 1.0%; (g) over $100,000: 0.75%. The applicable rate is determined by the full project value, not incrementally by tier, and the same rate applies to every payment on that project. For example, on a $15,000 project the rate is 1.5%, so a $5,000 milestone payment carries a Platform Fee of $75. The Platform Fee for each milestone payment is calculated in U.S. dollars and rounded down to the nearest whole dollar.
Payment Processing Fee. TrustConstruct charges the Client a Payment Processing Fee for each milestone payment processed through the third-party payment provider. For the standard milestone-payment transaction currently supported by the Platform (one Client payor, one Contractor payee, one hold, one pay-in, and one payout), the Payment Processing Fee is the greater of 1.00% of the milestone amount or $10.00. The fee is added to the amount the Client funds and is not deducted from the milestone amount. The Contractor's separate Platform Fee is calculated as described above.
Before the Client confirms payment, the Platform displays the milestone amount, the Payment Processing Fee, and the total amount the Client authorizes. Once the payment is submitted to and accepted for processing by the payment provider, the Payment Processing Fee is nonrefundable, even if the milestone is later cancelled or the milestone amount is returned, except where required by law or expressly stated otherwise in the payment confirmation. A failed submission that the payment provider does not accept for processing does not make the fee nonrefundable.
TrustConstruct reserves the right to modify the fee schedule with 30 days' prior written notice to all active users.
7. Payment Processing
TrustConstruct is not a bank, lender, or escrow agent and does not hold customer funds. Payment services are provided by an independent third-party payment provider, subject to its terms and state availability.
TrustConstruct is not a bank, lender, or escrow agent and does not hold customer funds. Payment services are provided by an independent third-party payment provider, subject to its terms and state availability. Funds may be released, refunded, or disputed only according to the Platform payment terms, the applicable project agreement, and the payment provider's processing rules.
Disputed milestone payments are governed by Section 9, including the dispute-fee disclosures, allocation authority, deduction authorization, nonpayment rules, and consumer safeguards stated there.
8. Payment Reversals; Chargebacks
Nothing in this Section waives any nonwaivable right under applicable law or payment-network or payment-provider rules.
Nothing in this Section waives any nonwaivable right under applicable law or payment-network or payment-provider rules. Owner agrees not to initiate a chargeback, ACH return, payment dispute, or similar reversal in bad faith or for an amount Owner knows is validly due solely to avoid the Project Dispute process described in Section 9.
Contractor acknowledges that any payout remains subject to payment-provider reversal, ACH return, fraud review, chargeback, or similar payment failure. Any recovery from Contractor of a reversed or uncollected amount must be authorized by the payment provider's terms and applicable law, follow written notice and transaction-specific accounting, and may not be made by deducting it from another milestone or project payment.
A full refund of a subscription charge ordinarily cancels automatic renewal and ends paid access when the refund is initiated. A refund identified as a billing correction or goodwill credit does not cancel the subscription; we will notify you that the subscription remains active and state the next charge date. If a subscription charge is formally disputed, paid access may be suspended and future renewal charges will be canceled. Automatic renewal will not resume after the dispute without new affirmative consent.
9. Dispute Resolution
9.1 TrustConstruct's limited role. TrustConstruct provides administrative tools for the parties to exchange information and attempt to resolve a project dispute. TrustConstruct may provide intake, customer support, evidence collection and preservation, nonbinding settlement facilitation, and ministerial transmission of a settlement, award, or court order. TrustConstruct does not hold customer funds, decide the merits of a dispute, or independently determine which party is entitled to a disputed transaction balance. The third-party payment provider controls execution and may delay, reject, restrict, or reverse a transaction as required by applicable law and its compliance, bank, network, fraud, or risk controls.
9.2 Self-resolution period. After a milestone payment is marked disputed, the parties have 30 days from the disputing party's written notice to the other party to reach a written settlement, as stated in the Dispute Fee Schedule, provider version 2026-09-30 (September 30, 2026), available at https://platform.thetrustconstruct.com/dispute-fee-schedule. Both parties may agree to extend that period, subject to the payment terms and the outside limits in Section 9.9. If both parties affirmatively accept the same settlement during that period, before submission to arbitration, the payment provider may process the agreed disposition under its terms and controls, and no arbitration fee is charged.
9.3 Independent administration and current total fees. If the parties do not settle and the required fees are timely funded, the dispute may be submitted to New Era ADR under the rules identified in the current Dispute Fee Schedule. As of September 15, 2026, the total administrator fee is $1,200 for a merits arbitration and $700 if the administrator issues a default or nonparticipation ruling. These are total case fees, not necessarily the amount a particular party must pay. New Era ADR determines whether a matter qualifies for its abridged process. Payment of a fee, or another party's failure to participate, does not guarantee any outcome.
9.4 Exact notice before a fee applies. Before an arbitration fee applies to a party, that party will receive a transaction-specific notice stating: the applicable rules and version; the total case fee; the exact amount that party must pay; any consumer cap or TrustConstruct-funded shortfall; the payment deadline; whether the amount is refundable; the consequence of nonpayment; the administrator's fee-allocation authority; and the amount that may later be deducted from that party's portion of the disputed transaction balance. The transaction-specific notice forms part of these Terms for that dispute. No party is charged an upfront arbitration fee unless that party affirmatively accepts the notice and pays the amount shown.
9.5 Fee allocation and deduction authorization. Each party authorizes New Era ADR to allocate the arbitration fee, including an amount advanced by TrustConstruct to satisfy a consumer-fee cap, in its final award. Each party authorizes the third-party payment provider, and not TrustConstruct, to deduct from the amount otherwise payable or refundable to that party any arbitration fee allocated to that party, to the extent permitted by applicable law and the payment terms. If the award does not allocate the fee, the payment provider may apply the equal-share treatment stated in the current Dispute Fee Schedule, subject to the consumer cap and applicable law. A deduction is not an acceptance of work, a merits decision by TrustConstruct, a settlement, a lien waiver, or a waiver of any right preserved below.
9.6 Nonpayment. A party's failure to pay the amount shown in its transaction-specific notice by the stated deadline is treated as that party's withdrawal from this payment-service dispute process, subject to the following rules. If the Client does not timely pay the Client's required amount, no arbitration is submitted, no arbitration fee is incurred, and the payment provider may apply the disposition that would have applied if the payment had not been marked disputed; any amount paid by the Contractor toward that arbitration will be returned. If the Contractor does not timely pay the Contractor's required amount, the Client may pay the applicable amount stated in the Dispute Fee Schedule for submission under the administrator's default or nonparticipation process. Nonpayment alone does not decide the merits or automatically entitle either party to the disputed payment. Withdrawal from this payment-service process does not waive a claim or defense outside the Services, subject to the Project Agreement and applicable law.
9.7 Consumer safeguards and opt-out. A consumer Client will not be required to bear arbitration fees above the cap stated in the transaction-specific notice, which may not exceed the applicable small-claims-equivalent amount or any lower limit required by law. No arbitration fee will be shifted against a consumer except to the extent permitted by applicable law following a finding of bad faith. Either party may bring an eligible individual claim in small claims court. A consumer may opt out of mandatory arbitration under this Section by emailing legal@thetrustconstruct.com within 30 days after first affirmatively accepting a version of these Terms containing this arbitration provision. The notice must identify the consumer, the account email, and the decision to opt out of arbitration. Opting out does not change the other Terms or prevent voluntary agreement to arbitrate after a dispute arises. Nothing in this Section waives nonwaivable rights, including public injunctive relief where available.
9.8 Representation, evidence, and award. Each party may be represented by counsel of its choice and may submit relevant project records through the applicable process. A binding payment disposition may result only from a written settlement affirmatively accepted by both parties, a final award accepted by the payment provider, a final court order, or another neutral disposition approved by the payment provider. The payment provider executes any release, return, split, or fee deduction subject to applicable law and its compliance, bank, network, fraud, and risk controls.
9.9 Outside limits. If the administrator has not commenced proceedings within 45 days after a funded submission, or if the disputed transaction balance would otherwise remain with the payment provider beyond the Maximum Holding Period stated in the current Dispute Fee Schedule, the payment provider may return the disputed balance to the Client that funded it. That operational return is not a decision on the merits and does not waive either party's claims, defenses, lien rights, bond rights, warranty rights, or other remedies under the Project Agreement or applicable law.
9.10 Administrative closure. TrustConstruct may close a case administratively without deciding the merits. An administrative closure does not decide the merits or any party's entitlement to payment. After the last active case on a project is closed, the Platform may return the project to the workflow stage it was in before the case was opened. That restoration is not a payment authorization, acceptance, waiver, release, settlement, or adjudication, and it does not limit a party's ability to bring a permitted claim through the applicable dispute process.
10. Contractor Obligations
Contractors using the Platform agree to: (a) maintain all required licenses, permits, and insurance for their jurisdiction; (b) provide accurate and truthful information in their profiles and bids; (c) complete accepted projects in accordance with agreed-upon specifications and timelines; (d) communicate promptly with Clients through the Platform's messaging system; (e) comply with all applicable building codes, safety regulations, and labor laws; (f) not solicit Clients for off-platform transactions to circumvent the Platform's milestone payment process; and (g) maintain professional standards of workmanship. Failure to meet these obligations may result in account suspension, negative reviews, or permanent removal from the Platform.
11. Client Obligations
Clients using the Platform agree to: (a) provide accurate project descriptions, specifications, and requirements; (b) fund milestone payments in a timely manner as agreed; (c) review and approve or dispute completed milestones within the designated timeframe; (d) communicate promptly with Contractors through the Platform's messaging system; (e) not solicit Contractors for off-platform transactions to circumvent the Platform's milestone payment process; (f) provide reasonable access to project sites as needed; and (g) comply with all applicable laws and regulations related to their construction projects.
12. Intellectual Property
All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, icons, images, software, and source code — are the exclusive property of TrustConstruct and are protected by copyright, trademark, and other intellectual property laws. Users retain ownership of content they submit to the Platform but grant TrustConstruct a non-exclusive, royalty-free license to use, display, and distribute such content in connection with the Platform's services.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUSTCONSTRUCT'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM, ANY PROJECT, ANY AGREEMENT, ANY PAYMENT FLOW, OR ANY DISPUTE PROCESS SHALL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES PAID TO TRUSTCONSTRUCT FOR THE PROJECT GIVING RISE TO THE CLAIM, OR (B) $500. TRUSTCONSTRUCT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOSS OF BUSINESS, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in this Agreement limits liability that cannot be limited under applicable law, including liability for fraud, willful misconduct, payment obligations owed by a user, misuse of confidential information, infringement or misuse of intellectual property, or non-waivable consumer rights.
14. Indemnification
Each user defends and indemnifies TrustConstruct against claims arising from that user's conduct, agreements, work, content, payment reversals, licensing or insurance status, or disputes with other users.
Each user agrees to indemnify, defend, and hold harmless TrustConstruct from claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from that user's breach of the Agreement, violation of law, misrepresentation, uploaded content, payment reversal, construction work, licensing or insurance status, lien or bond claim, jobsite injury, or dispute with another user, except to the extent caused by TrustConstruct's willful misconduct.
15. Termination
TrustConstruct may suspend or terminate your access to the Platform at any time, with or without cause, upon notice. Upon termination, any pending milestone payment transactions will be handled in accordance with Section 5 and Section 6. You may close your account at any time by contacting TrustConstruct support, provided you have no active projects or pending disputes.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Florida.
17. Subscriptions & Auto-Renewal
A paid subscription renews automatically every month until you cancel, and a payment method is required when you start one — including during any free period.
Some features of the Platform are offered through an optional monthly subscription, which is separate from the milestone payments in Section 5 and the Platform Fees in Section 6. Web subscription rates are: Free — $0, Pro — $39.00 per month, and Business — $99.00 per month, plus applicable taxes. The Free plan is never billed.
Promotional free period. Eligible new subscribers receive an introductory period with no subscription fee, measured from the day the subscription starts. The length of that period, the date it ends, and the date and amount of your first charge are shown to you at checkout before we collect your billing information, and are repeated in the confirmation email we send when the subscription starts. A promotional free period is granted once per account. Platform Fees under Section 6 and payment processing fees are separate from the subscription and are not covered by this offer. TrustConstruct may withdraw the offer for future subscriptions at any time and without prior notice, provided it is removed from our advertising and checkout surfaces at the same time; withdrawing it never shortens a free period already granted.
Payment method and first charge. A valid payment method is required when you start a paid plan, even during the promotional free period. When the free period ends, the payment method on file is charged the regular monthly rate for the plan you selected, plus applicable taxes, and on the same day of each month thereafter, until you cancel.
Cancellation and refunds. You may cancel online at any time in Account Settings. If you cancel before the first charge date shown to you at checkout, no subscription fee is charged. Cancelling stops the next renewal immediately, and we send you a confirmation stating the date your access ends. Except where required by law, paid subscription fees are nonrefundable and are not prorated; access continues through the end of the billing period already paid for.
Price changes. Subscription rates may change with 30 days' prior written notice to active subscribers, on the same terms as the fee schedule in Section 6. A changed rate applies from the first renewal after that notice.
Purchases made in the iOS app are billed by Apple at App Store prices, which differ from the web rates above ($39.99 per month for Pro and $99.99 per month for Business), and are governed by Apple's subscription terms — including cancellation, which is managed in your Apple account rather than here. Apple permits one introductory offer per subscription group and determines eligibility for it; where the price differs, the price shown in Apple's purchase sheet controls.
Residents of Washington, D.C. Where a subscription began with a free period, we ask District of Columbia subscribers for a separate affirmative consent before the first paid renewal, as required by D.C. Code § 28A-203(c). If that consent is not given before the deadline stated in the request, the subscription ends instead of converting to a paid plan and no renewal charge is made.
